Call for Membership Meeting

MEMBERSHIP MEETING
OF
SEBASTICOOK REGIONAL LAND TRUST
ALL MEMBERS PLEASE TAKE NOTICE that at 7 p.m. on the 28th of October, 2011 at the Unity College Center for the Performing Arts,
There will be a Meeting of the Membership of the Sebasticook Regional Land Trust. The following matters will be brought before the Membership at that time and place:
I. Whether the Membership will amend the Articles of Incorporation of the Corporation as follows:
Amend #5.a. to read as follows:
a. The Corporation shall have two classes of membership:
1. “Life Members:” Life Members shall be those individuals: (A) who donate or have donated a conservation easement to the Corporation (or to Sebasticook River Watershed Association prior to its merger into the Corporation), including individuals who made such a donation as trustees of a grantor trust, or (B) designated on a list of Life Members provided by the Sebasticook River Watershed Association at the time of the merger between the Sebasticook River Watershed Association and the Corporation. Life Members shall remain Life Members of the Corporation for the rest of their lives without the further payment of dues. There shall be no other Life Members of the Corporation.
2. “Members:” All individuals qualifying under the Articles and Bylaws of the Corporation, except Life Members as defined in 5.a.1 above, shall be Members of the Corporation.
3. “Voting Rights:” Life Members and Members shall have equal voting rights.
II. Whether the Members will amend the Bylaws of the Corporation as follows:
A. Amend Article 4, Section 1 to read as follows:
1. The Corporation shall have two classes of membership:

B. Amend Article 5, Section 2 as follows:
Delete the words “the Sebasticook River Watershed Association,” from line 6.
III. Whether the members will elect Stacia Hoover and Brandon Kulik as Class 1 directors as defined in Article 5, Section 1 of the Bylaws of the Corporation.
Stacia Hoover and Brandon Kulik are or have been directors of the Sebasticook River Watershed Association and their election as directors of Sebasticook Regional Land Trust is a part of the Plan of Merger negotiated by the two organizations.
